Independent Directors Evaluate Potential Corporate Tie-Up
Billionaire entrepreneur Elon Musk confirmed on Tuesday night that the boards of directors at both Tesla and SpaceX have formed special committees to formally evaluate a potential merger between the two companies. Speaking during SpaceX's third-quarter earnings call on October 20, Musk told investors and analysts that combining the electric-vehicle maker and the aerospace giant would be a "good idea." According to Reuters, Musk's comments mark the first official confirmation that the two companies have opened formal board-level discussions regarding a corporate tie-up. Formed at the request of shareholders, both special committees consist entirely of independent directors. Because Musk leads and holds major ownership stakes in both companies, he noted that he is a conflicted party and cannot participate in the committees' negotiations.
Shareholder Approval Hurdles And Market Reaction
Despite his personal enthusiasm for uniting his flagship enterprises under one corporate roof, Musk cautioned investors against assuming a deal is inevitable. He emphasized that the independent committees have not yet reached any agreement on valuation or transaction terms. Furthermore, Musk pointed out that corporate governance rules on the Tesla side require a merger to win approval from 50 percent of all outstanding Tesla shares—not merely a majority of the shares that turn out to vote. Still, analysts at Barclays suggested a formal deal announcement could arrive before Tesla's annual shareholder meeting in December.
SpaceX Surges On Starlink And Super Intelligence Growth
Musk's merger remarks accompanied a blockbuster third-quarter financial report for newly public SpaceX, sending its shares up roughly five percent in extended Tuesday trading. SpaceX reported a 161 percent year-on-year revenue surge to reach $14.58 billion for the quarter, beating Wall Street expectations and posting its first net profit as a publicly traded company. Explosive demand for Starlink satellite internet and the company's rapidly expanding Super Intelligence computing division powered the quarterly windfall, setting the stage for Wednesday's highly anticipated third-quarter earnings release from Tesla.
